Parade Week Packet · The contracts Helium Supply Agreement LC-2019-0044Between: Lakeshore Cryogenics LLC ("Supplier") And: Grand Inflation Industries, Inc. ("Buyer") Product: Gaseous helium, Grade 4.7 (Balloon Grade). Term: renews annually. 2. AllocationSupplier shall make available to Buyer 350,000 cubic feet per calendar month, deliverable in scheduled tube trailer shipments to Buyer's Toledo facility. Unused allocation does not roll over, a term Buyer renegotiates annually and Supplier declines annually, in what both parties now regard as a tradition. 4. PricingPosted regional price per cubic foot, adjusted quarterly. Buyer acknowledges that helium is a byproduct of natural gas processing, that the market is what it is, and that Supplier's account manager did not personally shut down the Amarillo field. 6. PriorityBuyer's allocation is Tier 2 (Commercial Entertainment). Buyer acknowledges that Tier 1 (Medical and Scientific) has absolute priority, and agrees that MRI machines outrank parade balloons in the moral order, regardless of television schedules. 13. Force MajeureSupplier's obligations are suspended or reduced pro rata upon events beyond reasonable control, including source field shutdowns. Supplier shall give notice and an estimated reduction percentage. Buyer's remedies are limited to: (a) the reduced allocation, (b) the secondary market, and (c) resourcefulness. 15. AssignmentThis Agreement is not assignable by Buyer. Buyer is reminded, strictly as a courtesy and without creating any obligation, that other regional holders of import allocations may have assignment rights under their own agreements, and that it never hurts to know people.
