Grand Harvest Parade: Balloon Services Agreement

Between: Harvest Parade Partners LLC ("Producer") And: Grand Inflation Industries, Inc. ("Contractor") Event: The Grand Harvest Parade, broadcast nationally. Estimated audience: 40,000,000. Contract value: $6,500,000 per event year.

3. Deliverables

Sixteen (16) giant character balloons per the approved Balloon Manifest (Exhibit B), inflated, rigged, walked, and recovered by Contractor. Balloon 7 ("Jubilant Harvest Corn") and Balloon 12 ("The Big Swan") are designated Hero Balloons and shall lead and close the flight order respectively.

5. Personnel

5.4 Rigger Requirement. Each balloon line team shall be supervised by a rigger holding Level IV certification in Colossal Balloon Wrangling, as required under FAA Waiver 2026-GH-114. No Level IV rigger, no launch, no exceptions, no matter whose retirement party it is.

7. Failure to Perform

7.2 Liquidated Damages. Should Contractor fail to deliver a flight-ready balloon program on Event Day for reasons within its control, Contractor shall pay liquidated damages of $2,000,000, the parties agreeing that the true cost of forty million disappointed viewers is not calculable and that this figure is merciful.

9. Helium

Contractor is solely responsible for procurement of lifting gas (estimated requirement: 380,000 cubic feet). Producer's obligation is limited to sympathy.

11. Weather

11.1 Monitoring. The parties shall jointly monitor aviation forecasts beginning seventy-two (72) hours before the Event.

11.3 Wind Limits and the Morning Call. Balloons shall not launch when sustained winds exceed 23 mph or gusts exceed 34 mph at route level. If forecasts are within ten percent (10%) of these limits, a joint go or no-go determination shall be made at 06:00 on Event Day by one authorized principal of each party, recorded in writing with names attached. A modified launch (reduced balloon count, reduced altitude profile per Exhibit D) is an authorized intermediate remedy. The parties acknowledge that this decision cannot be delegated, automated, or postponed, and that the wind does not take meetings.

11.4 No-Fault Cancellation. A no-go called in good faith under Section 11.3 triggers no liquidated damages and rolls the contract value at 60% to the following event year.

13. Publicity

Neither party shall issue Event-related statements referencing the other without approval, except that Producer may, in the event of a balloon escape, say whatever it needs to say.
